Role:(Senior) Legal Counsel
Role and Responsibilities:
- Handling independently drafting, reviewing, and negotiating various types of contracts and legal documents
- Provide legal advisory support on a variety of legal matters with respect to investment projects, M&A, commercial, labor, corporate, intellectual property, privacy data protection, etc.
- Liaising with, directing, and managing external counsel and agencies as required;
- Conducting legal research
- Legal advising internal business teams on various corporate policies, procedures, approaches, and preferred practices
- Support corporate governance related matters, including communication with the Board of Directors and periodic preparation and update of Board materials
- Anticipating and maintaining up-to-date knowledge of current laws relevant to company’s operation and business to provide strategic advice and foster compliance
- Work closely with compliance team domestically and globally on regulatory matters
- Ad-hoc tasks pertaining to legal and compliance matters as assigned by the team.
Requirements:
- Qualified lawyer with 5-10 years financial regulatory experience.
- Senior candidates may be considered for Senior Counsel.
- Experience from a reputable global law firm (common law jurisdiction) and reputable in-house organisation is a must.
- Track-record of working on licensing and regulatory matters for traditional financial institutions and cryptocurrency organisations is highly preferred including interactions with the likes of the FCA, VARA, AMF, MAS, HK SFC and others.
- Start-up experience is preferred, especially demonstrable experience in handling complex legal matters in fast-paced and exacting situations.
- Regulatory experience including regulatory investigations, requests for information, sanctions work, AML compliance and corporate governance work is highly valued.
- Has the ability to work independently and make tough decision
- Hands on at work and can be independent in managing complex projects.
- Dispute/arbitration experience will also be helpful but not a must-have
- Having project and team management and experience is a preferable skill
- Excellent legal drafting and interpretation skills.
- Excellent command of written and spoken English
- Fluency in Mandarin is highly preferred to be able to work with regional markets.
- Located in APAC time-zone with Hong Kong and Singapore being preferred jurisdictions.
